Omica Wellness Affiliate Program Terms

These Affiliate Program Terms (the "Terms") are an agreement between Terepia Sales LLC, doing business as Omica Wellness ("Omica," "we," "us"), and you, the individual or business accepting an affiliate offer from us ("you," "Affiliate"). By accepting an affiliate offer in Shopify Collabs, applying to the program, or using an Omica affiliate link or discount code, you agree to these Terms. If you do not agree, do not accept the offer or use the link or code.

Our program runs on Shopify Collabs. Your use of the Collabs platform itself is also governed by Shopify's Collabs terms, which cover the software; these Terms cover your relationship with Omica.

How you get paid, in short
You earn 25% on each order placed with your link or code. Commission waits 30 days (so refunds can clear), then Shopify Collabs pays you automatically about twice a month once you've reached $25. You must turn on automatic payouts in your Collabs account to receive anything. Full details in Sections 3 and 4.

1. Joining the program

1.1 The Omica Affiliate Program is invite-only. We may accept or decline any application at our sole discretion and are not required to give a reason.

1.2 You must be at least 18 years old, able to enter a binding contract, and (if you are a business) authorized to bind that business.

1.3 You must provide accurate information when you apply and keep your Collabs profile, contact details, and payout information current.

1.4 You may not join the program to earn commission on your own purchases, or on purchases made by your household or your business.

2. Your affiliate link and discount code

2.1 We will issue you a unique tracking link and/or discount code through Shopify Collabs. Only orders placed through your link or using your code are credited to you.

2.2 The standard customer offer is 15% off the order, applied through your code. We may change the customer discount, limit which products it applies to, or exclude sale items, bundles, subscriptions, or wholesale orders on notice to you.

2.3 Your code is for your audience. You may not post it to coupon or deal aggregator sites (for example RetailMeNot, Honey, Slickdeals, or similar), browser coupon extensions, or cashback sites. Codes found on those sites may be deactivated and the related commission cancelled.

2.4 Your code may not be combined with other discount codes unless we tell you otherwise.

3. Commission

3.1 You earn a commission of 25% on each qualifying order placed through your link or code.

3.2 Commission is calculated on the product subtotal after your customer discount is applied, excluding shipping, taxes, gift cards, and any other fees. Example: a $100 order with your 15% code has a product subtotal of $85, so your commission is $21.25.

3.3 A qualifying order is one that is placed by a genuine customer who is not you, is paid in full, is not cancelled, and is not refunded or charged back during the holding period described in Section 4.

3.4 Commission is not earned on wholesale or bulk orders, orders placed with another affiliate's code, orders flagged as fraudulent or high-risk, or orders we are unable to fulfill.

3.5 If an order is partially refunded after commission is paid, we may deduct the corresponding commission from your future payouts.

4. Holding period and payment

4.1 All commissions are held for [30 days] after the order date. During the holding period, commission on cancelled or fully refunded orders is automatically removed, and we may open a payment dispute in Collabs if we believe an order violates these Terms.

4.2 After the holding period, approved commission is billed to Omica through Shopify and paid to you by Shopify Collabs. To receive payment you must activate automatic payouts in your Collabs account (Hyperwallet, paid by PayPal or bank transfer). Collabs pays out roughly twice per month and only when your balance is at least $25 USD. Omica does not issue payments outside of Collabs.

4.3 Payouts are in USD. Any currency conversion fees charged by the payout provider are your responsibility.

4.4 You are responsible for any taxes on your commission income. Collabs collects your tax information and issues tax forms where required; you must complete that onboarding to be paid.

4.5 We do not pay commission on orders placed before you joined the program, or on orders tracked outside Collabs. If you believe an order was not credited correctly, email us within 30 days of the order date with the order number and we will review it.

5. How you may promote Omica

You may promote Omica products through your own social media accounts, website, blog, newsletter, podcast, videos, or in person. In doing so you agree that you will not:

• Run paid search or social ads that use "Omica," "Omica Wellness," "Organic Superfood Life," our product names, or misspellings of them as keywords, in ad copy, or in display URLs.

• Register domain names, usernames, or pages that include our brand or product names, or that could be mistaken for an official Omica account.

• Send unsolicited email, text, or direct messages ("spam") containing your link or code.

• Represent yourself as an Omica employee, owner, or official spokesperson, or claim your content is an official Omica communication.

• Alter our product images, labels, or copy in ways that misrepresent the product.

• Offer your own rebate, cash-back, or incentive in exchange for using your code.

• Use your link or code on any site or in any content that is unlawful, defamatory, sexually explicit, hateful, or that promotes violence or discrimination.

• Use cookie stuffing, forced clicks, bots, iframes, redirects, or any other method that generates clicks or orders not made intentionally by a real customer.

6. Disclosure of your relationship with Omica

6.1 You must comply with the U.S. Federal Trade Commission's Guides Concerning the Use of Endorsements and Testimonials in Advertising (16 CFR Part 255) and any similar law where your audience is located.

6.2 Every post, video, story, email, or page that includes your Omica link or code must clearly and conspicuously disclose that you earn a commission or have a material connection with Omica. The disclosure must be close to the link or code and hard to miss — for example "#ad," "#OmicaPartner," "I earn a commission if you buy through my link," or a spoken disclosure at the start of a video. A disclosure buried in a profile bio, an "About" page, or a long list of hashtags is not enough.

6.3 Your endorsements must reflect your honest opinion and actual experience. Do not describe results you did not personally experience, and do not present a product as suitable for everyone.

7. Health and product claims

Omica sells dietary supplements, herbal products, and wellness goods. Because of this, the following rules are a condition of your participation and are the most important part of these Terms:

7.1 Stay within our language. You may describe products only using the claims, descriptions, and benefit language that appear on the current Omica product label or on the official product page at omicawellness.com. If a claim isn't on our label or product page, don't make it.

7.2 No disease claims. You may not state or imply that any Omica product diagnoses, treats, cures, mitigates, or prevents any disease or medical condition. This includes words like "cures," "heals," "treats," "fights," "prevents," "reverses," and condition names such as cancer, diabetes, COVID-19, arthritis, anxiety, depression, infection, inflammation (as a disease), or any other illness. It also applies to before/after framing and to "testimonials" from your audience that you choose to share.

7.3 No medical advice. Do not tell your audience to stop taking medication, skip medical care, or use an Omica product in place of a doctor's advice. Do not recommend doses, uses, or preparations that differ from the label directions.

7.4 Safety language. When your content discusses a specific product in depth, include a note that the product has not been evaluated by the FDA and that people who are pregnant, nursing, taking medication, or have a medical condition should consult a healthcare professional before use.

7.5 No comparative or disparaging claims. Do not claim Omica products are superior to a named competitor, or make statements about competitors' safety or quality.

7.6 Organic and certification claims. Only describe a product as "organic," "certified organic," or "CCOF certified" if that specific product's current label says so. Do not apply certification language to the brand as a whole or to products that don't carry it.

7.7 We can ask you to take content down. If we believe any content violates this Section, you agree to edit or remove it within 48 hours of our request. A violation of this Section is grounds for immediate termination and cancellation of pending commission, at our discretion.

8. Use of our brand and content

8.1 We grant you a limited, revocable, non-exclusive license to use the Omica name, logos, product names, and the images and copy we provide (or that appear on omicawellness.com) solely to promote Omica products under these Terms. All rights not granted remain with Omica.

8.2 You may not modify our logos or product labels, and you must stop using our materials when your participation ends.

8.3 You grant Omica a non-exclusive, royalty-free, worldwide license to repost, share, and feature content you publish about Omica products (with credit to you) on our website, social accounts, email, and ads. If you would prefer we not reuse a specific piece of content, tell us in writing and we will honor it going forward.

9. Independent relationship

9.1 You are an independent contractor. Nothing in these Terms creates an employment, partnership, joint venture, franchise, or agency relationship.

9.2 You have no authority to make offers, promises, warranties, or statements on Omica's behalf, or to bind Omica to any obligation.

9.3 You are solely responsible for your own content, your own business expenses, and your own compliance with laws that apply to you, including tax and advertising laws.

10. Confidentiality

Information we share with you that isn't public — including upcoming products, pricing changes, sales figures, supplier or manufacturer names, and other affiliates' terms — is confidential. You agree not to disclose it without our written permission, during the program and after it ends.

11. Term and termination

11.1 These Terms take effect when you accept an offer or begin using your link or code, and continue until terminated.

11.2 Either party may end the relationship at any time, for any reason, with written notice (email or a message through Collabs is sufficient). We may also end your participation immediately, without notice, if you breach these Terms, if we suspect fraud, or if your content creates legal or reputational risk for Omica.

11.3 When the relationship ends, your link and code are deactivated and you must stop using Omica materials. Commission already earned on qualifying orders that clears the holding period will still be paid, except where termination is due to a breach of Section 2, 5, 6, or 7, in which case we may cancel pending commission.

11.4 We may pause or end the program as a whole at any time. If we do, we will give you notice and pay out earned commission that clears the holding period.

12. Changes to these Terms

We may update these Terms from time to time. We will post the updated version on this page with a new "Last updated" date and will notify active affiliates by email or through Collabs for material changes. Continuing to use your link or code after a change takes effect means you accept the updated Terms.

13. Disclaimers and limitation of liability

13.1 The program, Collabs platform, tracking, and reporting are provided "as is." We do not guarantee that tracking will be uninterrupted or error-free, that any level of traffic or sales will result, or that the program will continue for any period.

13.2 To the fullest extent permitted by law, Omica will not be liable for any indirect, incidental, consequential, special, or punitive damages, or for lost profits, arising from the program or these Terms. Our total liability to you for any claim related to the program will not exceed the commission paid to you in the six months before the claim arose.

14. Indemnification

You agree to defend and hold Omica, its owners, and employees harmless from any claim, loss, or expense (including reasonable attorneys' fees) arising from your content, your promotional methods, your breach of these Terms, or your violation of any law or third-party right, including any health claims you make that go beyond Section 7.

15. Governing law and disputes

These Terms are governed by the laws of the State of Texas, without regard to conflict-of-law rules. Any dispute that we can't resolve informally will be brought in the state or federal courts located in [Wood County], Texas, and both parties consent to that venue. Before filing anything, you agree to contact us and give us 30 days to try to work it out.

16. General

If any part of these Terms is found unenforceable, the rest remains in effect. Our failure to enforce a provision isn't a waiver of it. You may not assign these Terms without our consent. These Terms, together with your offer details in Collabs, are the entire agreement between you and Omica regarding the affiliate program.
